We are supporting Momentum Leisure in developing a theme park as part of an innovative entertainment and retail complex to be built in Silesia

The new investment in Gliwice is precisely such a venture: a pioneering blend of commerce, entertainment and recreation. Momentum Leisure, having Momentum Global Ventures as a main shareholder, has purchased land in Gliwice to build a fourth theme park in Poland. Momentum Leisure will position this attraction park, which will offer state-of-the art family attractions with a strong focus on family entertainment for 3 to 12 years old and planning to open the park in Q2 2027. We acted as advisors and partners throughout the execution of this complex transaction.
Momentum Leisure: Creators of joyful moments
Since 2008, Momentum Leisure has been developing and managing theme parks in Central and Eastern Europe. The company’s mission is to create unique spaces where families can enjoy spending time together in a safe environment.
Following the success of Majaland Kownaty and Majaland Warsaw, as well as the recently opened Majaland Gdansk, the time has now come to open a new theme park for Silesia. This strategic location is expected to attract visitors from Poland, the Czech Republic, and Germany.
The Gliwice vision: Synergy between retail and entertainment
The project in Gliwice is an example of an innovative approach to multifunctional developments. Specifically, it will combine a new amusement park with existing Europa Centralna Retail Park owned by Mitiska REIM’s, creating one of the first complexes of its kind in Poland.
Both companies have a common goal; to increase visitor numbers and extend the time customers spend within the complex. To achieve this objective, a comprehensive range of shopping and entertainment options for all the family will be offered.

We were involved in a range of activities for this unique project, including providing comprehensive transactional support in the acquisition of a 67,000 m² greenfield property, obtaining debt financing for the construction of the park and drafting and negotiating the contract with the general contractor.
“This project was an ambitious challenge that enabled us to showcase both our in-depth legal expertise and our ability to think flexibly. Reconciling two functionally independent yet spatially related developments — the existing retail centre and the new amusement park — required precision and a strategic approach. The key areas of our support included:
- Comprehensive transactional advice: from preparing a due diligence report and negotiating and preparing transaction documentation to coordinating the obtaining of Title Insurance and providing support in closing
- Strategic reflection of synergies: drafting the transaction documentation to reflect the synergies of two related projects: a retail centre and a new amusement park
- Support in obtaining financing: providing legal advice on debt financing, including negotiating facility agreements and other transaction documentation
- Negotiations with the general contractor: drafting and negotiating the contract with the general contractor to ensure smooth implementation of the project
- Infrastructure matters: providing advice on access to utilities, easements, and other infrastructure matters
