We advised on the cross-border acquisition of QuWireless by Taoglas

We advised Graham Partners and its portfolio company Taoglas on the cross-border acquisition of Wireless Instruments (operating under the QuWireless brand), a Polish manufacturer of advanced LTE/5G and Wi-Fi antennas.

The transaction was structured under Polish, US and Irish law. The acquisition will enable Taoglas to expand its connectivity offering, particularly in outdoor applications, providing QuWireless with an opportunity to bring its solutions to a broader market and integrate them with a wider range of RF technologies.

The synergy of global infrastructure and Polish know-how

QuWireless is a well-established player in the wireless connectivity market. The company specialises in the manufacturing of antenna solutions for outdoor, industrial and harsh-environment applications, including for use in telecommunications network infrastructure, smart grids, transport systems and areas with limited coverage.

Taoglas, a Graham Partners portfolio company, is a global provider of antennas and advanced RF solutions.

The combination of the two companies’ expertise broadens the range of supported devices, frequency bands and form factors, particularly for 5G, private network and IoT applications. Taoglas’ global capabilities in RF design, engineering, testing, certification and distribution will be complemented by QuWireless’ specialist know-how in integrated antenna-enclosure solutions.

Scope of Kochański & Partners’ legal advice

Our work included carrying out comprehensive due diligence across corporate, contractual, employment, GDPR, intellectual property, real estate, litigation and fixed asset matters.

We drafted and negotiated the SPA – a hybrid structure combining US/UK standards with Polish law, and incorporating an earn-out mechanism and W&I insurance. We also coordinated the Polish aspects of the closing process, including the purchase price settlement via notarial escrow, as well as post-closing steps.

We also carried out a regulatory screening covering Polish FDI and EU FSR requirements. In parallel, we assessed asspects of merger control in Poland.

This transaction illustrates how global scale and engineering capabilities can converge with specialist Polish know-how. We are delighted to have steered the Polish aspects of this cross-border project – from multi-stream due diligence and deal structuring to negotiation and closing, says Natalia Kotłowska-Wochna.

This investment is closely aligned with the growing appetite of international technology funds for Polish deep-tech assets, and is clear evidence of the strategic importance of specialist antenna technology manufacturers at a time of rapid 5G infrastructure expansion across European markets.

The transaction was led by Natalia Kotłowska-Wochna and Paweł Cholewiński, with the support of Jarosław Fejdasz and Adam Czarnota.

Dechert acted as international transaction counsel to the buyer, while KPMG was responsible for financial and tax due diligence. The sellers were advised by Brightspot Legal and Pillsbury.

We would like to thank our clients and collaborating partners for their trust and cooperation. We wish them every success in bringing their plans to fruition.
