Successful management buyout at Jansen
Jansen is one of the largest Polish importers of cheese and other original premium products. The company has more than 20 years of experience in the food industry, regularly works with the largest hyper and supermarket chains, and has launched around 500 exclusive products on the Polish market. We advised Jansen’s shareholder on the structuring and execution of a management buyout.
Management buyout – a strong plan and an effective implementation
The scope of our work was very broad and included supporting Jansen’s founder and CEO in the following areas:
- Transaction structuring
- Financial modelling
- Negotiation of commercial terms of the transaction
- Drafting and negotiation of comprehensive legal documentation
The work of the advisory team was coordinated by Szymon Balcerzak, Partner and Head of Transaction Advisory and Analysis, and Paweł Mardas, Partner from the M&A and Private Equity practices.
“This is yet another transaction we have handled in a comprehensive transactional and legal capacity, supporting clients with both business and financial arrangements, and legal matters. We are delighted to have the opportunity to work with leading Polish companies and their founders. We believe Jansen’s new corporate structure will facilitate its further success, ensuring its stronger performance and wider expansion into new markets,” comments Szymon Balcerzak.
The Jansen brand was established in 2001. From the beginning, the partnership’s mission has been to provide Polish consumers with original and exclusive products such as cheese, yoghurt, pasta, butter and other products from many European countries, including France, Italy, the Netherlands, Spain, Switzerland, Greece, England, Ireland, Bulgaria and Germany. Owing to its long-standing cooperation with European producers, the company has been able to bring around 500 unique premium products to the Polish market.
