Kochański & Partners has advised the shareholders of Hemp Juice sp. z o.o. on the acquisition of 100% of shares by Hemply Balance Holding AB, as one of the first transactions of this type on the Polish hemp market.
Hemply Balance is a Swedish manufacturer of high-quality hemp products for intimate and personal care, hemp oil and hemp capsules, selling its products in Scandinavia. Hemp Juice is a Polish e-commerce company with a range of CBD products including supplements, cosmetics, and pet products.
Nordic Growth Market-listed Hemply Balance aims to consolidate its position as a leading player in the CBD market in Sweden and to become a significant player in Europe, which could be facilitated by the acquisition of Hemp Juice.
Our advice included negotiation of the share purchase agreement, including in particular the sellers’ representations and warranties, and the principles of the sellers’ potential liability for damages – taking into account the particular nature of the CBD industry and a foreign jurisdiction – and also comprehensive assistance in drafting executive documents, including those setting the terms of the sellers’ further cooperation with the company.
