Kochański & Partners advise AccorInvest Group S.A. on the purchase of 85.8% of shares in Orbis S.A.

Kochański & Partners (K&P) advised AccorInvest Group S.A. (France) on the purchase of shares in Orbis S.A. – the Polish hotel chain, from Accor S.A. and Accor Polska sp. z o.o. AccorInvest Group S.A. is one of the leading investors, owners and managers in the international hotel market.

The consulting process provided by Kochański & Partners covered, in particular, a due diligence of Orbis S.A., including 46 hotels in Poland, structuring of the transaction, preparation and negotiation of an agreement for the sale of shares in Orbis S.A., as well as other transaction documentation. Kochański & Partners lawyers also advised on a call to sign up for the sale of shares in Orbis S.A. via a brokerage house.

The agreement for the sale of 85.8% of shares in Orbis S.A. (owned by Accor S.A. and Accor Polska sp. z o.o.) was concluded on December 16, 2019, and a call to sign up by all shareholders of Orbis S.A. for the sale of their shares to AccorInvest Group S.A. was announced (via the Santander brokerage house) on December 17, 2019. The value of the transaction was EUR 1.06 billion.
