Foundations for the future: We advised Air Products on the sale of its production plant to KGHM
Air Products is a global leader in the industrial gas industry. KGHM is a Polish champion in the mining and metallurgy sector, and one of the world’s largest producers of copper and silver. The two companies have a long-standing business relationship and have just finalised a complex transaction that could represent another milestone for them, and we supported Air Products throughout the entire sale process.
Air Products: Global innovator focuses on strategy
For over 80 years, Air Products has set the standards for the supply of industrial gas and related technologies to a wide range of industries worldwide.
With a presence in 40 countries, the company is renowned for its innovation, operational excellence, and unwavering commitment to safety and environmental protection.
In Poland, where it has three atmospheric gas production plants, two CO₂ plants and two dry ice plants, Air Products is one of the key players setting standards in the Central European market.
The sale of the Głogów property, where Air Products produced technical gases supplied to the KGHM smelter, is an important step in optimising their portfolio. This will allow the company to focus on further developing its key areas, including innovative projects relating to carbon capture and low-carbon hydrogen production, which can be a driving force behind the global energy transition.
KGHM: Consolidation on the path to growth
KGHM is a Polish mining corporation with an international presence, whose name is synonymous with power in the copper and silver industries. With a history spanning decades, KGHM is a driving force behind the Polish economy and European innovation.
Kochański & Partners: trusted advisors to serious businesses
This was not a typical property sale transaction. The involvement of two powerful entities with a long and complex history of mutual relations brought a number of unique challenges.
The key element was terminating the complex property agreements that had bound the parties for years.
The long-standing relationship between Air Products and KGHM, coupled with the need to address numerous complex issues within the transaction, required a combination of in-depth legal expertise, strategic thinking, and a creative approach during negotiations. We are proud to have advised our client on this project, says Paweł Cholewiński, Partner and Head of the Transactional Practices Group / Real Estate, M&A.
Our support included:
- Legal and strategic advice: Advising on the transaction from the initial analysis through to structuring and closing
- Terminating complex agreements: Successfully negotiating and terminating long-term property agreements, which was crucial to the project’s success
- Drafting and negotiating transaction documents: Drafting and refining all the necessary documents to protect the interests of Air Products
- Coordinating and closing the sale: Efficiently managing the entire process to ensure a smooth execution
Paweł Cholewiński was supported in his work on the project by Weronika Duda and Paulina Majewska from the Real Estate Practice.
This transaction is further proof that, even in the most complex business scenarios, it is possible to achieve the set goals thanks to strategic advice and a thorough understanding of the industry specifics. We are proud to have been part of this story, concludes Paweł Cholewiński.
